Terms of service for Minotauris.
These Terms are between you and Minotauris, the legal entity that owns and provides Minotauris. By creating an account, accepting these Terms, buying credits, downloading the desktop app, or using Minotauris, you agree to these Terms.
1. Eligibility and account responsibility
You may use Minotauris only if you can legally agree to these Terms. If you are under 18, your parent or legal guardian must review and agree to these Terms for you and is responsible for your use of Minotauris.
You are responsible for your account, credentials, local device, connected services, repositories, files, API keys, model-provider keys, and all activity that happens through Minotauris.
- Provide accurate account and billing information.
- Keep credentials, devices, tokens, and workspaces secure.
- Do not share access in a way that violates these Terms or another service's terms.
2. Product purpose and desktop permissions
Minotauris is a desktop AI productivity app for coding, research, automation, workspace management, and related work. Some features can read files, write files, run shell commands, inspect screenshots, call tools, connect to third-party services, or automate local work when you enable them.
You are responsible for deciding which permissions to grant and for reviewing the actions Minotauris or AI agents take on your device. You should use Minotauris only inside workspaces, systems, and accounts you own or are authorized to operate.
3. AI outputs and third-party model providers
Minotauris routes prompts, context, files, metadata, tool results, and other inputs to third-party model providers such as OpenRouter, DeepSeek, and other providers that may be added, changed, removed, or routed through fallback systems over time.
Models and providers are not owned or controlled by Minotauris. We do not guarantee that any model, output, tool call, completion, suggestion, analysis, or generated code will be accurate, safe, lawful, secure, complete, available, or suitable for your purpose.
- You must review, test, and validate outputs before using, publishing, deploying, or relying on them.
- Do not treat outputs as legal, medical, financial, tax, safety-critical, or professional advice.
- Provider outages, rate limits, policy changes, model substitutions, and safety filters may affect availability, price, quality, or behavior.
4. Your content and Minotauris IP
You keep ownership of the content, prompts, files, repositories, instructions, and data you provide, subject to any rights held by your employers, clients, collaborators, licensors, or third-party services.
You grant Minotauris a limited license to process, transmit, store, display, and use your content as needed to operate, secure, support, debug, and improve the product and enforce these Terms.
Minotauris, including its name, product design, source code, interfaces, workflows, branding, documentation, website, desktop software, and related intellectual property, is owned by Minotauris. No rights are transferred except the limited right to use the product under these Terms.
5. Paid plans, subscriptions, and credits
Paid plans, subscriptions, and credit purchases may be processed by Stripe or another payment provider. Prices, included credits, feature limits, and billing intervals may change for future periods or purchases.
Credits are a metering mechanism for product usage and do not represent stored value, currency, property, or a cash balance. Unless required by law or expressly stated at purchase, fees and credits are non-refundable and may be limited, suspended, or revoked for abuse, fraud, chargebacks, or violation of these Terms.
6. Acceptable use
The Acceptable Use Policy is part of these Terms. You may not use Minotauris to violate law, harm people or systems, bypass access controls, infringe rights, abuse model providers, or operate accounts, devices, repositories, networks, or services without authorization.
7. Suspension and termination
We may suspend, limit, or terminate access to Minotauris if we believe your use creates legal, security, operational, billing, abuse, or safety risk; violates these Terms; harms another person or service; or threatens Minotauris, its operator, providers, users, infrastructure, or reputation.
8. Disclaimers
Minotauris is provided as is and as available. To the maximum extent allowed by law, Minotauris disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.
You use Minotauris, AI outputs, automations, local execution, downloads, provider integrations, and generated work at your own risk.
9. Limitation of liability
To the maximum extent allowed by law, Minotauris and related operators, contributors, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-data, business-interruption, security, device, account, model-output, or third-party-provider damages. Total liability for any claim will not exceed the amount you paid to Minotauris in the three months before the event giving rise to the claim, or 100 USD if you paid nothing, unless applicable law requires otherwise.
10. Indemnity
You agree to defend, indemnify, and hold harmless Minotauris and related operators, contributors, contractors, and service providers from claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable attorneys' fees, arising from your content, workspaces, outputs, deployments, connected services, account activity, violation of these Terms, violation of law, or infringement or misuse of another person's rights.
11. Governing law and disputes
These Terms are governed by the laws of North Carolina, without regard to conflict-of-law rules. Dispute-resolution, arbitration, venue, class-action waiver, and small-claims language should be reviewed by a North Carolina lawyer before launch or enforcement.
12. Changes and contact
We may update these Terms by posting a new version and requiring renewed acceptance when appropriate. Continued use after the effective date means you accept the updated Terms. Contact support@minotauris.app for legal or account questions.
